Thank you for using Lency!

Before using Lency and the services described below (the "Services"), please read these Terms of Use ("Terms") carefully, together with our Privacy Policy. By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian.

We may update these Terms from time to time. We will notify you of material changes by email or through the Services. Continuing to use the Services after a change takes effect means you accept the updated Terms.

1. Definitions

"Lency" means the Lency web application and any related services, features, and updates, operated by the Company ("Company", "we", "us", or "our").

"Services" means the content creation, AI generation, scheduling, publishing, and performance-marketing tools and features made available through Lency, including AI Studio, Coworker, Automations, and Library.

"Connected Account" means a third-party platform account (such as Instagram, TikTok, YouTube, Facebook, or LinkedIn) that you authorize Lency to access on your behalf via OAuth or a similar authorization mechanism.

"Your Content" means any text, images, video, audio, brand information, or other material you upload to, or generate through, the Services.

2. License to Use Lency

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own business or personal purposes. This license does not include any right to resell or commercially exploit the Services themselves, to copy or reverse-engineer any part of the underlying software, or to use automated systems to extract data from the Services except through features we explicitly provide (such as our API, where available).

3. Account Registration and Security

3.1

You may create an account using an email and password, or by signing in with a third-party identity provider such as Google. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Registration Data and Age Requirements

You must provide accurate information when creating your account and keep it up to date. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account without parental or guardian consent.

You must notify us promptly at lency@googlegroups.com if you become aware of any unauthorized use of your account.

4. Fees and Payment

4.1 General

Lency offers a free plan with limited monthly AI Studio credits, and paid subscription plans (currently Starter, Creator, and Max) that include a larger monthly credit allotment and additional features. Additional credits can be purchased separately as one-time top-ups; purchased credits do not expire.

4.2 Subscription

Paid subscriptions are billed in advance on a recurring basis (monthly, unless otherwise stated) through our payment processor, Stripe. Subscriptions renew automatically until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.

5. Using Lency

5.1 What you can do

You may use Lency to:

  1. Create, edit, organize, and store content, including AI-generated images, video, and text.
  2. Connect your own social media accounts and schedule or publish content to them.
  3. Configure automations and review AI-suggested content within the permission model described in Section 7.

5.2 What you cannot do

You agree not to:

  1. Use the Services to generate content that is illegal, infringing, defamatory, or that violates a third party's rights.
  2. Attempt to gain unauthorized access to any part of the Services, other accounts, or connected third-party platforms.
  3. Use the Services in a way that violates the terms of service of any Connected Account platform (e.g., Instagram, TikTok, YouTube, Facebook, LinkedIn).
  4. Interfere with, disrupt, or place undue load on the Services' infrastructure.
  5. Misrepresent AI-generated content as being made without AI assistance where such disclosure is legally required by a platform or jurisdiction.

5.3 Use by Minors

The Services are not directed at children under 13, and we do not knowingly collect personal data from them. If you believe a child has provided us with personal data, contact us and we will delete it.

6. Your Content

6.1 Your Content

You retain all ownership rights in Your Content, including business information, uploaded media, and content generated through the Services using your inputs.

6.2 License You Grant Us

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display Your Content solely as necessary to operate, provide, and improve the Services for you — for example, storing your media in our cloud storage, running it through AI generation models, and publishing it to a Connected Account at your direction.

6.3 Our Use of Your Content

We do not sell Your Content. We do not use Your Content to train third-party AI models beyond what is required to generate the specific output you requested, except as disclosed in our Privacy Policy.

7. Connected Accounts, AI Actions, and Approvals

When you connect a third-party account, you authorize Lency to access it, within the scope of the permissions you grant, to perform actions such as scheduling or publishing content on your behalf. Meaningful or externally-visible actions (such as publishing a post) follow an approval-aware workflow: Lency proposes an action, and depending on your configured permission level, either you approve it before it runs, or you have pre-authorized that category of action to run automatically. You can review and change these permission levels at any time in Settings, and disconnect a Connected Account at any time.

You are solely responsible for content published to your Connected Accounts through the Services and for complying with the terms and content policies of each connected platform.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Services, including the Lency name, logo, software, and underlying technology, are owned by the Company and protected by intellectual property laws. Nothing in these Terms transfers any of our intellectual property rights to you, except the limited license granted in Section 2.

8.2 Feedback

If you send us feedback or suggestions about the Services, we may use them without any obligation to compensate you.

9. Copyright Complaints

If you believe content available through the Services infringes your copyright, please send a notice to lency@googlegroups.com including a description of the copyrighted work, the material you believe is infringing, and your contact information. Submitting a knowingly false claim may expose you to legal liability.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR PURPOSE, OR THAT PUBLISHING TO A CONNECTED ACCOUNT WILL ALWAYS SUCCEED.

11. Limitation of Liability and Indemnity

11.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

11.2 Indemnity

You agree to indemnify and hold the Company harmless from any claims arising from Your Content, your use of a Connected Account through the Services, or your violation of these Terms.

12. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your account if you violate these Terms, or if required to comply with the law. Upon termination, your right to use the Services ends, though provisions of these Terms that by their nature should survive (such as Sections 8, 10, and 11) will continue to apply.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.

14. General

These Terms constitute the entire agreement between you and the Company regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
